SONOVI MEMBERSHIP & PARTICIPATION AGREEMENT

PLEASE READ CAREFULLY

This Membership & Participation Agreement (“Agreement”) is entered into by the undersigned participant or, if applicable, the participant’s parent or legal guardian (“Participant”), in connection with participation in any Sonovi membership, package, class, session, coaching service, event, or program (“Services”).

By purchasing, enrolling, or participating in any Services, Participant agrees to the following terms:

1. MEMBERSHIP AUTO-RENEWAL

All Sonovi memberships automatically renew at the end of each billing cycle unless cancelled in writing no less than forty-eight (48) hours prior to the next scheduled billing date. Failure to cancel within this time frame authorizes Sonovi to process the upcoming charge.

2. NO REFUNDS / NO TRANSFERS

All purchases are final. No refunds, credits, transfers, or exchanges will be issued for any reason, including but not limited to non-attendance, scheduling conflicts, illness, injury, travel, relocation, dissatisfaction, or personal circumstances.

3. SESSION EXPIRATION

All sessions, classes, or credits expire thirty (30) days from the date of purchase unless otherwise stated in writing by Sonovi. Unused sessions do not roll over, pause, extend, or retain cash value.

4. CANCELLATIONS & NO-SHOWS

Sessions must be cancelled at least forty-eight (48) hours in advance. Same-day cancellations, late cancellations, or no-shows will result in forfeiture of the session without refund or credit.

5. CLIENT RESPONSIBILITY

Participant is solely responsible for scheduling sessions, monitoring expiration dates, and arriving on time. Missed or expired sessions are not eligible for refunds, extensions, or credits.

6. ASSUMPTION OF RISK & MEDICAL ACKNOWLEDGMENT

Participant acknowledges that participation in physical training, exercise, breathwork, movement, and wellness activities involves inherent risks, including physical injury, emotional distress, or other harm. Participant voluntarily assumes all such risks.

Participant affirms that they are in suitable physical and mental condition to participate and have consulted a medical professional if necessary.

7. RELEASE OF LIABILITY & INDEMNIFICATION

To the fullest extent permitted by law, Participant releases, waives, and discharges Sonovi, its owners, coaches, employees, contractors, agents, and affiliates from any and all claims or liabilities arising from participation in the Services, including claims based on ordinary negligence, except in cases of gross negligence or willful misconduct.

Participant agrees to indemnify and hold harmless Sonovi from any claims, damages, or expenses arising from Participant’s conduct or participation.

If signing on behalf of a minor, the parent or legal guardian assumes full responsibility for the minor’s participation and associated risks.

8. SCHEDULE CHANGES & CONDUCT

Sonovi reserves the right to modify trainers, schedules, programming, or Services as necessary. Sonovi may refuse service or terminate membership for unsafe, disruptive, or inappropriate behavior. No refunds will be issued in such cases.

9. PAYMENT DISPUTES & CHARGEBACKS

Participant agrees not to initiate chargebacks or payment disputes for Services rendered under this Agreement. Unauthorized chargebacks may be considered a breach of this Agreement and may result in additional administrative fees and collection efforts.

10. FORCE MAJEURE

Sonovi shall not be held liable for cancellations or interruptions caused by events beyond its reasonable control, including but not limited to illness, natural disasters, government orders, or facility closures.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state in which Sonovi operates, without regard to conflict of law principles.

12. SEVERABILITY

If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.

13. ACKNOWLEDGMENT

By signing below, Participant confirms that they have read, understood, and voluntarily agree to this Agreement.

14. PARTICIPANT INFORMATION
